1. Introduction

These Terms & Conditions govern the relationship between iDigitalMarketing, operating at iDigitalMarketing.net, and the client engaging our services. By commissioning any work, you agree to these Terms.

2. Services

We provide digital marketing, SEO, web development, software development, automation, and related digital services. Specific scope, deliverables, and timelines will be outlined in a written proposal or statement of work ("SOW") agreed upon before commencement.

3. Proposals & Acceptance

Proposals are valid for 30 days from issue. A project is binding once the client provides written confirmation and any required deposit is received.

4. Payment Terms

  • 50% deposit required before work commences unless otherwise agreed.
  • Remaining balance due upon completion or at agreed milestones.
  • Retainer invoices issued monthly, due within 14 days.
  • Late payments may incur 5% per month on the outstanding balance.
  • All prices exclude applicable taxes unless stated otherwise.

5. Client Responsibilities

You agree to provide all necessary materials, access, and feedback in a timely manner. Client-caused delays may result in adjusted timelines and additional charges. You warrant that provided materials are owned by you or properly licensed.

6. Intellectual Property

  • Upon full payment, ownership of final deliverables transfers to the client unless otherwise specified.
  • We retain the right to use non-confidential work in our portfolio unless an NDA is in place.
  • Pre-existing IP, tools, and frameworks remain our property, licensed for your use within deliverables.

7. Confidentiality

Both parties agree to treat all non-public information as confidential, including strategies, data, credentials, and financial information. This survives termination.

8. Warranties & Liability

  • Work delivered to professional standard with reasonable skill and care.
  • We do not guarantee specific results (rankings, revenue) as these depend on external factors.
  • Total liability shall not exceed fees paid for the specific engagement.
  • We are not liable for indirect or consequential damages.

9. Third-Party Services

We are not responsible for changes to third-party platforms' pricing, terms, or availability. Third-party costs are the client's responsibility unless included in our proposal.

10. Revisions

Projects include revision rounds as specified. Additional revisions or scope changes may incur charges, communicated and agreed before work proceeds.

11. Dispute Resolution

Both parties will first attempt good-faith negotiation. If unresolved within 30 days, the matter proceeds to mediation or arbitration.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which iDigitalMarketing operates.

13. Amendments

We may update these Terms at any time. Material changes will be communicated to active clients. Continued engagement constitutes acceptance.

Acceptable Use Policy

iDigitalMarketing operates ethically, legally, and responsibly. This policy outlines projects we will and will not engage in.

2. Projects We Accept

  • Legitimate business websites, e-commerce, and web applications
  • Ethical marketing campaigns and advertising
  • White-hat SEO compliant with search engine guidelines
  • Lawful automation, data collection, and bot development
  • Software development for legitimate purposes

3. Projects We Will NOT Accept

Illegal Activities

  • Any activity violating local, national, or international law
  • Fraud, scams, phishing, or deceptive practices
  • Hacking, unauthorised access, or malware development
  • Money laundering or financial crime
  • Sale or promotion of illegal substances, weapons, or contraband
  • IP theft, counterfeiting, or piracy
  • Child exploitation material or trafficking

Black-Hat / Unethical Practices

  • Black-hat SEO (link schemes, cloaking, keyword stuffing, PBNs, negative SEO)
  • Fake reviews, fake testimonials, or astroturfing
  • Spam campaigns of any kind
  • Click fraud or ad manipulation
  • Scraping that violates a website's terms or privacy laws
  • Bots designed to deceive, harass, impersonate, or manipulate
  • Practices violating platform terms (Google, Meta, LinkedIn, etc.)

Morally Objectionable Content

  • Hate speech, extremism, or discriminatory content
  • Misinformation or disinformation campaigns
  • Harassment, bullying, or stalking tools
  • Predatory lending, gambling, or exploitative financial services

4. Right to Refuse or Terminate

We may refuse any project at our sole discretion. If a policy violation is discovered mid-engagement, we may immediately terminate. No refund for completed work; outstanding balance remains due.

5. Client Warranty

You warrant that your project complies with all applicable laws and this policy. You agree to indemnify iDigitalMarketing against claims arising from breach of this warranty.

Cancellation & Refund Policy

1. Project-Based Work

Before Work Commences

Full refund of deposit minus 10% administrative fee.

After Work Has Commenced

  • Within first 25%: Charged for work completed plus 15% of remaining value.
  • 25%โ€“75%: Charged for work completed plus 25% of remaining value.
  • After 75%: Full project fee due.

Completed work delivered in current state.

2. Retainer / Ongoing Services

  • Cancel with 30 days' written notice.
  • Current billing period paid in full regardless of cancellation date.
  • Pre-paid months beyond notice period refunded.

3. Cancellation by iDigitalMarketing

We may terminate if: client breaches Terms or Acceptable Use Policy; payment overdue 30+ days; client unresponsive 30+ days; or continuing would compromise legal/ethical obligations. Final accounting and materials delivered; charged for all work performed.

4. Refund Processing

Refunds processed within 14 business days via original payment method.

5. Pausing Projects

Projects may be held up to 30 days at no charge. Beyond 30 days may be treated as cancellation.

6. Force Majeure

Neither party liable for delays due to circumstances beyond reasonable control. Both parties will work in good faith to accommodate.
